These Terms of Service ("Terms") govern your access to and use of Persilio, a product of Savo Group, a DBA of Rupe Enterprises LLC ("Persilio," "we," "us," or "our"). By creating an account or using our website, dashboard, mobile app, or related services (the "Services"), you agree to these Terms. If you are using the Services on behalf of a business, you represent that you are authorized to bind that business.
1. The Services
Persilio provides software for service businesses to manage leads, communicate with customers, schedule appointments, send quotes and invoices, collect payments, and use AI-assisted tools, including our assistant Percy. We may add, change, or remove features over time.
2. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
3. Fees and billing
Persilio is free to use for active Savo Group marketing clients. For all accounts, certain usage-based costs are passed through and billed as incurred, including messaging (SMS), call recording and transcription, AI actions, and payment processing fees. Charges are processed by our payment provider. Pass-through and usage amounts are non-refundable except where required by law.
4. Acceptable use
You agree not to use the Services to:
- Send unlawful, deceptive, or unsolicited messages, or otherwise violate the TCPA, CAN-SPAM, or similar laws.
- Contact individuals without any legally required consent, or record calls where prohibited.
- Upload malware, attempt to breach security, or disrupt the Services.
- Infringe intellectual property or privacy rights, or violate applicable law.
- Resell or provide the Services to third parties except as permitted.
You are solely responsible for complying with all laws that apply to how you contact your leads and customers and how you handle their data.
5. Your content and data
You retain all rights to the data and content you submit to the Services ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Services and as described in our Privacy Policy. You represent that you have the rights and permissions necessary for us to do so.
6. Third-party integrations
The Services integrate with third parties such as Google, Telnyx, Stripe, QuickBooks, and Meta. Your use of those services is governed by their own terms, and we are not responsible for them. Connecting an integration authorizes the related data exchange.
7. AI features
Percy and other AI features generate suggestions and drafts that may be inaccurate or incomplete. They are provided to assist you, not to replace your judgment. You are responsible for reviewing AI output before relying on it, sending it, or taking action.
8. Intellectual property
The Services, including all software, branding, and content we provide, are owned by Rupe Enterprises LLC and its licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Rupe Enterprises LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amounts you paid us in the three months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Rupe Enterprises LLC and its affiliates from claims and expenses arising out of Your Content, your use of the Services, or your violation of these Terms or applicable law, including any claims related to how you contact your leads or customers.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. On termination, your right to use the Services ends; certain provisions survive, including ownership, disclaimers, limitation of liability, and indemnification.
13. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws rules. The exclusive venue for disputes is the state and federal courts located in Washington.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date, and your continued use of the Services means you accept the changes.
